Contractor Agreement

1. Introduction

This Contractor Agreement ("Agreement") is between NVP Technology LLC ("Vrapido," "we," "us") and the independent contractor applying to provide lawn care and snow removal services through the Vrapido platform ("Pro," "you"). By submitting an application to join Vrapido, you acknowledge and agree to the terms set forth herein.

2. Independent Contractor Status

You are an independent contractor, not an employee, agent, or partner of Vrapido. This Agreement does not create any employment, joint venture, or agency relationship between you and Vrapido. You are solely responsible for:

  • Your own taxes, insurance, and legal compliance.
  • All equipment, tools, and vehicles needed to perform services.
  • Setting your own schedule and availability.
  • Managing your own business expenses.

Vrapido does not withhold income taxes, Social Security, or Medicare from your payouts. You are responsible for all self-employment taxes and any required business registrations.

3. Service Area & Eligibility

You may only accept jobs within the ZIP codes you declare during onboarding and that are approved by Seasonly. Currently, Vrapido serves Schaumburg, IL (60173) and Morton Grove, IL (60053). Expansion to additional service areas will be communicated in advance.

You must maintain accurate, up-to-date service area information in your Vrapido profile. Providing service outside your declared area without prior approval may result in job reassignment and account review.

4. Services You May Offer

Vrapido currently supports two service categories:

  • Lawn Mowing — scheduled and on-demand grass cutting for residential properties.
  • Snow Plowing — driveway and lot clearing during snow events.

You may offer one or both services depending on your equipment and capabilities.

5. Payout Terms

For each completed and paid job, Vrapido will remit 80% of the job price to your Stripe Connect account within 2–3 business days of job completion. The remaining 20% is retained by Vrapido as a platform fee.

Payment Unlock Requirement. Payouts are released only after: (a) the job status is marked "Done" by the Pro in the Vrapido dashboard, (b) at least one completion photo has been uploaded and verified, and (c) the customer payment has been successfully collected. If payment collection fails, payout is paused until resolution.

If a customer disputes a charge (chargeback), Vrapido reserves the right to deduct the disputed amount from future payouts or recover it through other means.

6. Insurance Requirements

Before taking jobs on the Vrapido platform, you must maintain:

  • General liability insurance with minimum coverage of $500,000 per occurrence for property damage and bodily injury.
  • Automotive liability insurance if operating a vehicle as part of your service business.
  • Workers' compensation insurance as required by Illinois law for your business structure.

You must provide proof of insurance upon request. Failure to maintain adequate insurance coverage will result in suspension from the platform until coverage is restored.

7. Background Checks

Vrapido may perform background checks on Pro applicants and active contractors, including criminal history and driving record (where applicable). Having a criminal record does not automatically disqualify you; each case is reviewed individually. We evaluate the nature and recency of any findings relative to the services you provide.

You agree to immediately notify Vrapido of any criminal charges, convictions, or changes to your driving status that occur after joining the platform.

8. Completion Photo Requirement

To unlock payment for a completed job, you must upload at least one clear, time-stamped photo showing the work area before leaving the job site. Photos must:

  • Clearly show the service area (driveway, lawn, etc.).
  • Contain visible evidence of the completed work.
  • Not be altered or manipulated after capture.

Vrapido reserves the right to request additional photos and to withhold payment if photo evidence is insufficient or appears tampered.

9. Customer Interaction & Professional Standards

You agree to:

  • Arrive at the scheduled time or notify the customer promptly if delayed.
  • Communicate respectfully and professionally at all times.
  • Complete work to a reasonable standard consistent with industry norms.
  • Report any issues, safety hazards, or property damage to Vrapido immediately.

Customer phone numbers are masked until a job is completed and paid. You may not contact customers outside the Vrapido platform until after the first job is completed and paid, and only for the purpose of resolving post-service issues.

10. No-Side-Dealing & Non-Solicitation

No-Side-Dealing Policy. You agree not to solicit, arrange, or conduct any lawn care or snow removal services for any Vrapido customer outside the Vrapido platform for a period of 12 months following your first job on the platform. Violation of this clause may result in account termination, recovery of lost platform fees, and legal action.

You may not use contact information obtained through Vrapido for marketing, solicitation, or any purpose unrelated to services booked through the platform.

11. Termination

Either party may terminate this Agreement at any time, with or without cause, by providing written notice. Vrapido may immediately suspend or terminate your account for:

  • Violation of this Agreement or any platform policy.
  • Fraud, misrepresentation, or dishonesty.
  • Failure to maintain required insurance.
  • Inappropriate conduct toward customers or Vrapido staff.
  • Repeated quality complaints or no-shows.

Upon termination, outstanding payouts will be processed according to the payment terms in Section 5, subject to any pending disputes or chargebacks.

12. Limitation of Liability

Vrapido acts as an intermediary connecting Pros with customers. We are not liable for property damage, personal injury, or financial disputes arising from services performed by Pros, except where required by applicable law. You indemnify Vrapido against claims arising from your provision of services through the platform.

13. Dispute Resolution

Any disputes arising from this Agreement should first be reported to Vrapido within 48 hours of the incident. Vrapido will mediate in good faith. If unresolved, disputes may be escalated to binding arbitration under the laws of the State of Illinois.

14. Modifications to This Agreement

Vrapido may update the terms of this Agreement with 30 days' written notice. Continued use of the platform after the notice period constitutes acceptance of the updated terms.
